ROC compliance refers to the mandatory filings that every company must submit to the Registrar of Companies under the Companies Act, 2013. Non-compliance results in daily penalties (Rs. 100-200 per day), director disqualification, and the company being flagged as a defaulter.
Every company must file: AOC-4 (within 30 days of AGM), MGT-7/MGT-7A (within 60 days of AGM), ADT-1 (within 15 days of AGM), DIR-3 KYC (before September 30), and conditionally DPT-3 (by June 30) and MSME-1 (by April 30 / October 31).
Late filing penalties are Rs. 100 per day for regular companies and Rs. 200 per day for OPCs/small companies, with no maximum cap. Directors of companies that have not filed for 3 years face disqualification under Section 164(2).
