1. Acceptance of Terms
By accessing and using the website and services of Sapna Malpani ("Company," "we," "us," "our," or "Service Provider"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services. These terms constitute a legal agreement between you ("Client," "User," or "you") and Sapna Malpani.
2. Services Description
Sapna Malpani provides professional Company Secretary services including, but not limited to:
- MCA Compliance and regulatory filings
- FEMA advisory and compliance
- Fundraising documentation and structuring
- Corporate Governance consultation
- Secretarial Audit services
- Dematerialization (DEMAT) assistance
- General business consulting
The scope of services shall be clearly defined in the engagement letter or service agreement between the Client and the Service Provider.
3. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information necessary for the provision of services
- Maintain confidentiality of advice and recommendations provided
- Comply with all applicable laws and regulations
- Provide timely feedback and clarifications when requested
- Pay fees and charges as agreed in the service agreement
- Notify the Service Provider of any material changes in circumstances
- Implement recommendations at their sole discretion and responsibility
4. Limitation of Liability
To the maximum extent permitted by law, Sapna Malpani shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunity
- Client's non-implementation or misimplementation of recommendations
- Actions taken by third parties or government authorities
- Changes in laws or regulations after service delivery
Our total liability shall not exceed the fees paid for the specific services in question. The Client acknowledges that the service provision is subject to professional standards and best practices.
5. Intellectual Property
All materials, documents, templates, and work product created by Sapna Malpani in the course of service delivery are the intellectual property of the Service Provider unless otherwise specified in the engagement agreement. The Client is granted a limited license to use these materials for their internal business purposes only. Unauthorized reproduction, distribution, or modification is prohibited.
Client materials and information remain the property of the Client. The Service Provider may use anonymized case studies and general methodologies for professional development and marketing purposes, subject to confidentiality obligations.
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the course of the engagement. Information may only be disclosed as required by law or with prior written consent.
7. Fees and Payment
Fees for services shall be as agreed upon in the service engagement letter. Payment terms are typically net 30 days from the invoice date. Late payments may incur additional charges as specified in the engagement agreement.
8. Termination
Either party may terminate the engagement with written notice. Outstanding fees remain payable. Upon termination, all client information shall be returned or securely destroyed as per applicable laws.
9. Governing Law
These Terms of Service and all services provided by Sapna Malpani are governed by and construed in accordance with the laws of the Republic of India. Both parties agree to submit to the exclusive jurisdiction of the courts of India for any disputes arising from these terms or the service engagement.
10. Modifications to Terms
Sapna Malpani reserves the right to modify these Terms of Service at any time. Changes shall be effective immediately upon posting to the website. Your continued use of the services constitutes acceptance of any modifications.
